By-LawsOf the General Federation of Women's ClubPalomar District Federation of Women's Clubs No. 24California Federation of Women's ClubsARTICLE I- NameSection 1. This corporation shall be called the General Federation of Women's Clubs, Palomar District Federation of Women's Clubs No. 24, California Federation of Women's Clubs. ARTICLE II - ObjectThe object of this federation shall be to unite the influence and enterprise of Palomar District women, to carry on amony member clubs a definite educational program along all lines of moral, social welfare and civic interest; and to cooperate with the California Federation of Women's Clubs (CFWC) and the General Federation of Women's Clubs (GFWC). ARTICLE III - MembershipSection 1. To become a member os the Palomar District Federation No. 24, a club must: (a) Hold membership in the State and General Federations (b) Have a membership of at least ten (10) members. (c) Show by its bylaws that the organization requires no sectarian or political test for membership; that it is not a secret society; and that it does not conflict with the bylaws of the General Federation, the California Federation or the Palomar District. Section 2. (a) Active clubs shall be those paying per capita dues to the District, State and General Federations. (b) Junior Clubs: Junior membership of the California Federation of Women's Clubs shall be composed of young members. (c) Clubs of men and women are eligible under the same conditions as a woman's club provided representation shall be upon the basis of women's membership. Section 3. Application for membership must be accompanied by membership dues, the name and address of the President, Recording Secretary and Treasurer, and a copy of the bylaws which have been approved by the District Parliamentarian. The District Chairman of Federation, after investigation, shall present the application to the Executive Board for approval and to the Board of Directors for ratification; the majority vote of those present shall elect the club to membership. Upon approval the District Chairman shall send the application to the State Second Vice-President, accompanied by State and General dues and the bylaws, who shall present it to the State Executive Board. Section 4. A club desiring to resign in good standing from the Federation shall do so before January 15 or be responsible for the current year's dues. (a) Such request must be made by a two-thirds (2/3) vote by ballot at a regula business meeting of the club, provided written notice of the proposed resignation has been sent to each member of the club at least ten (10) days before vote is taken. (b) After such action, the club desiring to resign shall notify the District President and shall return the charter issued by the State Federation. The said resignation shall then be presented to the Palomar District Executive Board for their consideration and the Board of Directors for ratification. (c) The District President shal immediately notify the District Secon Vice-President and the Area D Vice-President, sending a duplicate to the State Office. Section 5. (a) A club having resigned in good standing from the Federation may be reinstated under the role of membership except that an entrance fee shall be required. For clubs with membership of two hundred (200) or over, the fee shall be Six Dollars ($6.00); for clubss with a membership of one hundred (100) and up to two hundred (200), the fee shall be Three Dollars ($3.00); and for clubs with a membership of less than one hundred (100), the fee shall be One Dollar and Fifty Cents ($1.50). (b) A club having been dropped for non-payment of dues and desiring to rejoin Federation shall pay a re-entry fee of Twenty-Five Dollars ($25.00) to the State Federation and dues for the current year, and may be reinstated under the rule of membership. Section 6. (a) Each club may adopt its own policy which shall not conflict with the policies of General Federation, State Federation or Palomar District. (b) Clubs are urged, but not obligated, to support projects recommended by General Federation, State Federation, and Palomar District. Section 7. Affilate groups are those sections that are study groups or emeritus. A group fee is paid to District and State. No per capita dues are paid. The group may be represented by one delegate at District and State. ARTICLE IV -Junior MembershipSection 1. Clubs which are composed of young members may be known as Junior Clubs and be affliliated with the Palomar District of the California Federation of Women's Clubs. Section 2. (a) In the event a Junior Membership Club does not have the sponsorship of a General Membership Club, such sponsorship shall be provided by the General Membership District in which the Junior Membership Club is located, until a General Membership Club sponsor is secured. (b) In the event that, thereafter, sponsorship by a General membership Club is not available, at the beginning of each administration, a review shall be made of the existing sponsorship and upon agreement of the Junior Membership, extension of the sponsorship shall be granted by the General Membership District. (c) A General Membership District shall not be required to sponsor more than three Junior Membership Clubs. (d) A General Membership Club shal not sponsor more that one Junior Membership Club. In addition to the General-Junior District Coordinator, the General Membership District shall appoint a Coordinator for each District sponsored Junior Membership Club to serve as liaison between the General and Junior Membeships. These District appointed Club Coordinators shall be appointed by the District President upon the recommendation of the Junior Membership. (e) Each sponsoring General Membership Club shall appoint a General-Junior Coordinator to serve their Junior Membership Club. (f) There shall be a Palomar District General-Junior Coordinator appointed by the President, selected from a list submitted by the president-elect of the San Diego District Junior Membership. She shall serve for two (2) years, or until a successor is found, and act as liaison between the General and Junior memberships. She shall report at the board meeting of both groups and be a voting member of the Palomar District Executive Board and the Board of Directors. She shall be a non-voting member of the Junior Board of Directors. ARTICLE V - Emeritus ClubsSection 1. Auxillary, Emeritus, or Honor Clubs shall be those clubs in which the test of membership depends upon the member's service, honor time, membership, or other similar qualifications in a Club, District, State or General Federation organization. Emeritus Clubs may pay a group fee to District and State, and be represented by one delegate. ARTICLE VI - Officers and Their DutiesSection 1. the Officers of Palomar District Federation shall be: President, First Vice-President, Second Vice-President, Third Vice-President, Fourth Vice-President, Recording Secretary, Corresponding Secretary, Treasurer, Auditor, Parliamentarian, and the District President of Junior Membership or her official representative. Section 2. Newly elected officers shall enter upon their duties on June 1 following election. Section 3. These officers shall perform the duties prescibed by these bylaws and by the Parliamentary Authority adopted by the General Federation. (a) It shall be the duty of the PRESIDENT to preside at all meetings of the Palomar District Federation. She shall appoint a Corresponding Secretary, an Auditor, a Parliamentarian, all Chairmen of Departments and Programs, Chairmen of Special Appointments and Chairmen of Standing Committees. She shall complete the necessary data as required for the State Yearbook. She shall be ex-officio member of all committees except the nominating committee. She shall hav general supervision over the work of the District. She shall represent the District at the State Board meetings and at the State Convention. An allowance for necessary expenses for the president shall be determined by the Budget Committee. (b) The FIRST VICE-PRESIDENT, in the absence of the President, shall perform the duties of that office. In case of death, resignation, or permanent disablity of the President, the First Vice-President shal succeed to that office for the remainder of the unexpired term. She shall be Dean of Chairmen. Along with the District President, she shall represent the District at State Board meetings. She shall be responsible for all Report Writing in the District. She shall conduct informational workshops, keep a list of all Club Deans, sending one to the State Dean of Chairmen, be custoidan of the Presidents' folders for each District meeting, prepare an article for the four "Telescopes" published during the year, and appear on the agenda calling on those District Chairmen wishing to report. she shall prepare and coordinatie the awards and award certificates to be presented at the annual convention. She shall present the outgoing President with her gift. (c) The SECOND VICE-PRESIDENT, in the absence of the President and the First Vice-President, shall perform the duties of the President. She shall serve as Federation Extension Chairman and as Membership Chairman. (d) the THIRD VICE-PRESIDENT shall assist the President. She shall serve as Chairman of Programs and Itineraries. (e) The FOURTH VICE-PRESIDENT shall be the Ways and Means Chairman. She shall coordinate all District fundraising activities. (f) The RECORDING SECRETARY shall keep a true and correct record of the minutes of all meetings of Palomar District, including those of the Executive Board and the Executive Committee and the Board of Directors. She shall submit a copy of the minutes to the President within seven days. She shall perform such other duties as may be required. (g) The CORRESPONDING SECRETARY shall maintain a correct list of all member clubs, all District Officers, Chairmen of Standing Committees, Departments and Programs, Special Appointments, and Past District Presidents, and all General and State Officers and Chairmen residing in the District, all of whom shall constitute the official list of the District Federation. She shall send notices of all whom shall constitute the official list of the District Federation. She shall send notices of all official meetings of the Palomar District Executive Board to its members. She shall compile and complete the Palomar District Yearbook. (h) The TREASURER shall receive all money due Palomar District from all sources; shall keep a record of same in a ledger book belonging to the District; and shall deposit the moneyin a financial institution approved by the Executive Board. (1) She shall obtain the necessary signature cards to be signed by the President, Recording Secretary, and the Treasurer, with only two signatures required to sign checks. (2) Expenses listed in the budget may be paid and shall be ratified at the next Executive Board or Board of Directors' meeting. Expenditures exceeding Fifty Dollars shall be presented to the Board of Directors for approval. The Treasurer shall pay only from District vouchers with all bills/receipts attached. (3) The Treasurer shall ascertain that all approved budget expenditures are used for that specific purpose only. Unexpended budgeted items shall revert to the general fund by vote of the Executive Board. (4) The Treasurer shall keep all accounts between Palomar District and its members and shall notify the President of the clubs who dues are delinquent. (5) She shall give a financial report at each Executive Board meeting, the Board of Directors meeting, and at the first Board of Directors meeting of the new fiscal year. Copies of these reports shall be given to the President, Recording Secretary, and the Auditor. (6) The Treasurer shall deliver the books to the Auditor in sufficient time to be audited and delivered to the new Treasurer no later than four (4) weeks after the beginning of the new fiscal year. (i) The AUDITOR shall examine the books of the Treasurer and make a report at the Spring convention each year. She shall make a supplementary audit in the second year covering the period between the annual audit and the first day of June. (j) The PARLIAMENTARIAN shall act in an advisory capacity at all meetings of the Palomar District and also to member clubs of the Palomar District Federation as requested as requested. She shall serve as CHAIRMAN OF THE BYLAWS COMMITTEE. (k) The duties of the PRESIDENT OF JUNIOR MEMBERSHIP shall be defined by the Bylaws of the Junior Clubs. ARTICLE VII - Board of DirectorsSection 1. Members shall be : District elected and appointed officers, Chairmen of Standing Committees, Departments and Programs, Chairmen of Special Appointments, Presidents or their alternates of member clubs and their duly designated delegates or their alternates, special club representatives to the District Executive Board, the President of Junior Membership, the District Coordinator, Past District Presidents and all General and State Officers residing in the district. This Board shall have general supervision over corporate affairs and shall have the power to transact all business referred to it. Section 2. No chairman shall serve in the same capacity for more than four (4) years. Section 3. A District chairman also serving as a club chairman shall be required to hav reports judged by outside individuals. Section 4. Any contract, except the budgeted items, to be binding upon the Palomar District, must be approved by a majority voted at a regular District meeting and be signed by the President and the Recording Secretary of the District. ARTICLE VIII - Executive BoardSection 1. The Executive Board shall be composed of the elected officers, Corresponding Secretary, Auditor, the Parliamentarian, the Junior President or her representative and the Junior Coordinator. the President of any club, or her appointee, not otherwise represented on the Executive Board shall automatically become a member-at-large. Section 2. The Executive Board shall have the power to transact routine business between the regular Palomar District meetings and to act in evergencies not otherwise provided for in the Bylaws and the Standing Rules, and may approve expenditures of not more than Fifty Dollars ($50.00). Section 3. A resume of action shall be given at the next regular Palomar District meeting and shall be included in the minutes thereof. Section 4. Duties of the Executive3 Board: (a) To fill all vacancies in the District elective offices, except the office of President, for the unexpired term. (b) Each member of the Executive Board shall keep record of the activites during her term of office and shall give this record to her successor immediately upon the completion of her term of office. (c) To approve the annual budget for presentation to the Board of Directors for ratification and to authorize payment for all necessary expenses incurred between June1 and retification of the budget at the first regular meeting of the Palomar District. (d) To have the power to declare a vacancy, by a two-thirds (2/3) vote, if an appointed member or elected officer fails to perform her duties. ARTICLE IX -Executive CommitteeSection 1. The Executive Committee shall be composed of the officers and shall meet at the call of the President or at the request of three (3) members. Section 2. Duties of the Executive Committee: (a) To ratify the appointments of all Chairmen of Departments and Programs and Chairme of Special Committees. (b) They shall have power to act in emergencies between meetings of the Executive Board and to transact such other business not otherwise provided for in the Bylaws or Standing Rules. A report of such action shall be given at the next meeting of the Executive Board and be included in the minutes of the meeting. (c) They shall decide the time and place for holding the convention. (d) They may make recommendations to the Executive Board. ARTICLE X -Dues and FinanceSection 1. The fiscal year shall be from June 1 to May 31. Section 2. Palomar District Federated Clubs shall pay annual dues of One Dollar Fifty Cents ($1.50) per capita based upon membership. Section 3. The District President shall distribute Data Blanks to the Club President immediately after the February CFWC Executive Board meeting. Club dues shall be paid with the Data Blank no later than the Palomar District convention and shall become delinquent on May 1. If not paid before September 1, the club shall be dropped from Federation membership. The delegates from clubs whose dues are not paid shall not be seated at the annual convention. it is the Outgoing Club President's responsibility to complete and return the Data Blanks with Club dues to the District President or her designated representative. Section 4. Club joining the Federation prior to the February CFWC Executive Board meeting shall pay full annual dues for the current year. Dues of clubs admitted at the February CFWC Executive Board meeting shall be credited to the following fiscal year. Section 5. One or more Hazel Erickson Memorial Scholarships shall be awarded annually dependent on the interst earned from the Hazel Erickson Savings accounts and any other amount which may ber allotted for this purpose. The interest on savings accounts shall be withdrawn each year whenever penalties do not apply. ARTICLE XI -Nominations and ElectionsSection 1. ELIGIBILITY OF OFFICERS. The elected officers shall be President, First Vice-President, Second Vice-President, Third Vice-President, Fourth Vice-President, Recording Secretary, and Treasurer. (a) They shall serve for a term of two (2) years or until their successors are elected. (b) No elected officer, except the Treasurer, shall be eligible for re-election to the same current office unless she is filling a vacancy of less that one (1) year. (c) Nominees, with dual memberships, shall have a letter of endorsement from the club that qualifies them for election. This letter shall be sent to the chairman of the nominating committee, prior to the candidate being considered by the committee, or if nominated from the floor. (d) The nominees for District President shall have served as a Club president. Section 2. NOMINATING COMMITTEE. At the September Palomar District meeting prior to election year, a Nominating Committee shall be elected. (a) No member shall serve on the Nominating Committee more than two (2) consecutive terms. (b) The Nominating Committee shall consist of not less that five (5) nor more that seven (7) members and two (2) alternates, no two (2) of whom shall be representing the same club in the District. (c) Election of the Nominating Committee shall be by written ballot, prepared by the District Parliamentarian. (d) It shall be the duty of the District Parliamentarian to call the committee together and it shall then elect its chairman. (e) The Nominating Committee shall name one (1) or more candidates for each electe office. Section 3. LETTERS OF ENDORSEMENT. (a) The Parliamentarian shal announce at the September District meeting prior to election year that letters of endorsement for candidates are required from clubs wishing to propose a candidate for elected office. Section 4. ELECTION OF OFFICERS. (a) The Nominating Committees shall present the proposed slate of officers at the January District meeting in the election year. (b) the proposed slate of officers shall be included in the "Palomar Telescope" prior to the regular March District meeting. (c)Further nominations may be made from the floor on the day of the election, provided consent of such nominees has been obtained, and the letter of endorsement has been submitted to the Nominating Committee Chairman. (d) Election of Officers shall be held at the Palomar District meeting preceding the Annual Convention in the election year. (e) Election of Officers shall be by written ballot except if there is but one (1) candidate for each office, then by unanimous consent of the members the ballot may be dispensed with and the election by viva voice may be used. Section 5. ELECTION COMMITTEE. At the February Executive Board meeting in the election year, the Executive Board shall appoint an Election Committee of five (5) members and two (2) alternates which shal elect ist own chairman. ARTICLE XII - MeetingsSection 1. Four (4) regular Palomar District meetings, exclusive of Workshops, should be held during the year; which meetings shall be scheduled in the yearbook. The time and place of meetings shall be decided by the Executive Board. Notices of district meetings shall be sent two(2) weeks before the date of the meeting. The voting body of Palomar District shall consist of the Board of Directors. All meetings are open to the entire membership of Palomar District Federation. Section 2. Special meetings may be called by the President with the consent of the Executive Committee. Section 3. Each member club at the beginning of the club year shall elect or appoint delegates and alternates to represent the club at District meetings and convention; representation to be on the basis of one (1) for each twenty-five (25) members or major fraction thereof. A list of delegates and alternates shall be sent to the District Credentials Chairman. At the beginning of each year, affiliate Groups may submit to the District Credentials Chairman the name of one (1) delegate per affilate group. Section 4. A convention of Palomar District Federation shall be held each year in April and in such place as may be selected by the Executive Committee. Club awards and annual reports shall be given at the convention. Section 5. The call to convention shall be sent to all members of the voting body at least four (4) weeks prior to the date of the convention. Section 6. Voting membership at the convention shall consist of the voting body of the Palomar District. A club whose dues shall be entitled to representation by its President or her alternate and one (1) delegate or her alternate for each twenty-five (25) members or major fraction thereof. Affililate groups may be represented by one (1) delegate at Convention. Section 7. No delegates shall be allowed to represent more that one (1) club or to have more that one (1) vote. Voting by proxy shall not be permitted. ARTICLE XIII - QuorumSection 1. A quorum at a regular Palomar District meeting or convention shall be forty (40) delegates. Section 2. A quorum at a meeting of the Executive Board shall be seven (7). Section 3. A quorum at a meeting of the Executive Committee shall be five (5). ARTICLE XIV - District Representation at State MeetingsSection 1. The District President and the District Dean are members of the State Executive Board. Section 2. Representation at State Convention per State Bylaws, Article XII, Section 2, Voting Body; General Membership: State Officers, President of Districts, First Vice-Presidents or Presidents-Elect of Districts or their alternates, Past State Presidents, Chairmen of Departments and Club Presidents or their alternates and Club Delegates or alternates for each fifty (50) or less members; a club over fifty (50) members, one for each fifty (50) or major fraction thereof. ARTICLE XV - Departments and CommitteesSection 1. The Departments of Palomar District Federation shall conform with those of the State Federation insofar as is practicable or deemed advisable by the District Executive Board. Section 2. (a) A Budget Committee composed of three (3) members, including the treasurer as chairman, shall be appointed by the President and shall present an annual budget tot he Executive Board who shall submit it to the first regular Palomar District meeting for approval. (b) There shall be a Bylaws Committee of five (5) members, appointed by the President, with the Parliamentarian as Chairman. (c) A Resolutions Committee of five (5) members including the Resolutions Chairman, shall be appointed by the President. the Parliamentarian shall be a non-voting member of the Resolutions Committee. (d) A Credentials and Registration Chairman shall be appointed by the President. The Chairman shall select a committee as needed. (e) A Scholarship Committee consisting of three (3) members appointed by the President, shall administer the Hazel Erickson Memorial Scholarship Program. Applicants must qualify according to criteria set forth by the Scholarship Committee for the period involved. Any change in the criteria or procedure shall be approved by the Executive Board and the membership notified no later thatn the January District meeting of the year in which it becomes effective. An annual report shall be given at the District Convention. (f) The President shall appoint the Palomar District Arts Festival Chairman. The Chariman shall select a committee as needed. (g) the President shall appoint the Palomar District Convention Chairman. The chairman shall select a committee as needed. ARTICLE XVI - ResolutionsSection 1. A documented resolution to a regular Palomar District meeting or to a convention may be presented by any club or by the District Executive Board, provided such resolution shall comply with the following requirements. (a) The proposed resolution must be typewritten in triplicate and be accompanied by a letter signed by the President and Recording Secretary of the organization sponsoring the resolution, stating that it had been acted upon at a regular business meeting of the organization and its presentation to the District meeting or convention authorized. (b) Names and addresses of persons to whom copies are to be sent must accompany the resolutions. Section 2. Resolutions may be rejected by a four-fifths (4/5) vote of the Resolutions Committee. Section 3. All resolutions, except emergency and courtesy, to be considered by a convention must be presented tot he Chairman of the Resolutions Committee four (4) weeks prior to the date of the District meeting or convention. Section 4. Emergency Resolutions to a regular Palomar District meeting must be presented to the Executive Committee before 10:00 a.m. of the meeting day. ARTICLE XVII- Parliamentary AuthorityROBERT'S RULES OF ORDER, NEWLY REVISED, shall be the authority at all meetings wherein they are applicable and not in conflict with these bylaws. ARTICLE XIX - DissolutionSection 1. This corporation is one which does not comtemplate pecuniary gainor profit to members thereof, and it is organized solely for non-profit purposes. No part of the net earnings, properties, or assets of this corporations on dissolution or otherwise shall inure to the benefit of any private person or individual or any member of director of this corporation, and on liquidation or dissolution, all properties and assets of this corporation remaining after paying or providing for all debts and obligations shall be distributed gratuitously, to a corporation organized and operated exclusively for charitable, educational, or social welfare purpose and which has established its tax-exempt status under Section 501(c)(3) of the Internal Revenue Code of the United States or its successor Section. Bylaws amended March 16, 2004 STANDING RULES1. These standing rules may be amended by a two-thirds (2/3) vote at any regular meeting without notice or a majority vote if notice has been given. 2. There shall be three (3) hostess clubs for each of the four (4) regular District meetings assigned by the Executive Committee. Schedule of duty shall be outlined in the yearbook. There shall be two (2) hostes clubs for the two (2) Workshops. if the resident club provides the luncheon, any profit therefrom shall go to the club. 3. In addition to the District, the hostess club in whose clubhouse the District meeting is held may sell fundraising items. 4. Any materials placed in the President's folders must have prior Executive Board approval, District Chairmen and Federation material excepted. 5. The President may appoint an advisor and President's Aide to serve her on the Board with voting privileges. 6. A balance of not less that Two Hundred Fifty Dollars ($250.00) shall be left in the checking account at the end of each two (2) - year administation. 7. A registration fee for the Arts Festival shall be charged to cover the expenses of the Festival. 8. State Yearbooks and Procedure Books shall not be sold or given to anyone for commercial purposes. 9. To cover convention expenses, a registration fee determined by the Executive Board, shall be paid by each Federation member attending. No registration fee shall be paid by designated guests of the District. 10. At convention, only the District may conduct fundraising activities. 11. Any favors or materials distributed at the District Convention must have prior Executive Board approval. 12. An award certificate, based on the percentage of membership gain, shall be awarded each year at the annual convention. 13. An award certificate and a trophy shall be awarded each year at the annual convention to the club having the greatest percentage of attendance at regular District meetings an workshops. This trophy shall remain the property of Palomar District. 14. At the annual District Convention, the Executive Board may recommend candidates for consideration as members of the State Bylaws, Election, Resolutions, and Nominating Committee. 15. Copies of the State Awards won by the District shall be placed in the Palomar District Historian's Book and the original will remain with the recipient. 16. It shall be the duty of the Amenities chairman to select the gift for the retiring President. 17. The Convention registration fee shall be waived for the Past Presidents of Palomar District. 18. When the President attends authorized State Board meetings and State Conventions, she shall be allowed the following expenses the amount not to exceed the budgeted allotment. One-half (1/2) the rate of a twin-bed room, only the scheduled meals, and transportation in full. 19. When the District First Vice-President/Dean attends State Board meetings, she shall be allowed the following expenses but not to exceed the budgeted allotment; One-half (1/2) the rate of a twin-bed room, only the scheduled meals, and transportation in full. 20. The District Second Vice-President/Membership Chairman may be invited to attend State Board meetings. She shall be allowed the following expenses but not to exceed the budgeted allotment: One-half (1/2) the rate of a twin-bed room, only the scheduled meals and transportation in full. 21. The District President's pin, donated by Florence Adams, shall be a traveling pin in her memory. It shall be presented to the President-Elect during the Installation Ceremony, but worn by the President until the completion of her term of office. 22. There shall be a District Newsletter, the "Palomar Telescope" published four (4) times a year. The newsletter shall be mailed at leats two (2) weeks prior to the District Board meeting. (a) The Newsletter Editor shall be appointed by the President. It may be the Corresponding Secretary. (b) The Newsletter shall contain a message from the District President, District First Vice-President, any officer or district chairman and the agenda for the upcoming District Board meeting. Board recommendations shall also be published. (c) The "Palomar Telescope" shall be sent complimentary to the voting body of the Palomar District, CFWC President, CFWC First Vice-President, CFWC Second Vice-President, Area D Vice-President, CFWC Public Relations Chairman, President of Southern District, President of San Diego District, and the San Diego Junior District Director. (d) All members who are not on the Board of Directors and wish to receive the district newsletter shall be charged a $3.50 annual suscription, renewable annually. 23. The District shall be responsible for the District President's lunch at District meetings. 24. The San Diego Junior District President, or her representative, shall be the guest of the Palomar District at the meeting honoring the Junior membeship. All other Palomar District functions are attended at her expense. 25. The Executive Board shall have authority to pay deposits required to reserve venues for functions approved by the Board.
